Securities surveillance is the monitoring of the institutional trading activity in the stock or debt of a publicly traded company. The stock surveillance industry was formed during the 1980’s in response to the surge in hostile corporate takeovers, which made corporations quickly recognize the importance of identifying and understanding their shareholder base. Armed with the knowledge of who was buying and selling their shares, corporations could better guard against unsolicited takeovers. As corporations began to realize the significance of this information, stock surveillance quickly evolved from a defensive mechanism into a more widespread industry with practical and beneficial day-to-day applications. Today, corporations utilize this information to enhance their daily investor relations activities. Debt surveillance evolved in the early 1990’s as companies began to use debt more frequently as a means to finance growth. In instances where companies chose to exercise the option of an early call of outstanding debt or to defend against the hostile accumulation of shares via convertibles, it became increasingly important for companies to know who their debt holders were. Investor relations officers and CFO’s use debt surveillance, which has attributes comparable to stock surveillance, to identify current holders prior to calling outstanding debt, or before a road-show or merger.
